1. Agreement to Terms
By accessing or using Nodal AI (accessible at www.nodalmarketing.com or associated subdomains, referred to as the “Service”), operated by Nodal Marketing (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service
Nodal AI provides an artificial intelligence-driven marketing platform that enables users to connect third-party platforms (including Google Analytics, Google Search Console, Google Ads, and Google Marketing Platform), analyze marketing metrics, manage workflow nodes, and generate insights.
3. Account Registration & Eligibility
A. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account or use the Service. By using Nodal AI, you represent and warrant that you meet this requirement.
B. Account Security
To access certain features, you must register for an account using email or supported third-party single sign-on (OAuth) providers. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at hello@nodalmarketing.com of any unauthorized access or security breach.
4. Third-Party Services and OAuth Integrations
A. Connected Accounts
Nodal AI allows you to connect third-party marketing and analytics services, including Google APIs. By granting Nodal AI access to these accounts, you authorize us to access, retrieve, and process data from those services solely to provide core features within our platform.
B. Third-Party Compliance
Your use of third-party platforms connected to Nodal AI remains subject to those platforms’ respective terms and policies. We are not responsible for the availability, uptime, or policies of third-party integrations.
5. Acceptable Use Policy
You agree not to engage in any of the following prohibited activities:
• System Misuse: Attempting to disrupt, disable, overburden, or compromise the security or integrity of the Service.
• Reverse Engineering: Copying, modifying, decompiling, or attempting to extract the source code or underlying algorithms of Nodal AI.
• Unauthorized Access: Scraping, crawling, or accessing data through automated means not explicitly authorized by us.
• Illegal Activity: Using the Service for any unlawful, fraud-related, or deceptive purposes.
• Rate Limiting Bypass: Bypassing API limits or security restrictions placed on the platform.
6. Intellectual Property Rights
A. Our Intellectual Property
The Service, including its branding, UI design, underlying software, logos, trademarks, and proprietary algorithms, is and remains the exclusive property of Nodal Marketing and its licensors.
B. Your Data & Content
You retain all ownership rights to the data, metrics, and content you connect or submit to Nodal AI (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and process that content solely to operate and deliver the Service to you.
7. Fees and Subscriptions (If Applicable)
A. Billing
Certain features of Nodal AI may require paid subscription plans. You agree to provide current, complete, and accurate billing information.
B. Cancellations
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, and past payments are non-refundable unless required by law.
8. Termination
We reserve the right to suspend or terminate your account or access to Nodal AI at our sole discretion, without prior notice, if you breach these Terms, engage in fraudulent behavior, or if required by applicable law.
You may terminate your account at any time by disconnecting your integrations and contacting us at hello@nodalmarketing.com.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NODAL MARKETING DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT MARKETING METRICS OR AI-GENERATED INSIGHTS WILL PREDICT SPECIFIC BUSINESS OUTCOMES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODAL MARKETING, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL RESULTING FROM:
• Your access to or inability to access or use the Service.
• Any unauthorized access to or use of our servers or user data.
• Third-party platform outages or API changes affecting connected data.
Our total aggregate liability for any claims arising from these Terms shall not exceed the amount paid by you to Nodal Marketing in the twelve (12) months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Nodal Marketing and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms or misuse of the Service.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., Hong Kong], without regard to its conflict of law provisions.
